Terms and Conditions

Please read these terms carefully before using SenSub's PayPal subscription wrapper service.

1. Acceptance of Terms

By accessing or using SenSub ("Service," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

SenSub is operated by SenSub, Inc., a Delaware corporation. These Terms constitute a legally binding agreement between you (the "User" or "you") and SenSub.

2. Service Description

SenSub provides a software-as-a-service (SaaS) platform that simplifies PayPal subscription management for businesses. Our service acts as a no-code wrapper around PayPal's Subscriptions API, allowing you to:

  • Connect your own PayPal Business account using API credentials
  • Create and manage subscription plans through our dashboard
  • Generate hosted checkout pages and embeddable payment links
  • Receive webhook notifications for subscription events
  • Track revenue and manage subscribers via our dashboard

đź’ˇ Key Point: We Are Not a Payment Processor

SenSub does not process, hold, or transfer payments on your behalf. All payments are processed directly between your customers and your PayPal Business account. We never have access to your customers' funds. SenSub is purely an API integration layer and management interface.

3. User Roles and Relationships

3.1 SaaS Owners (Primary Users)

As a SaaS Owner using SenSub, you are our direct customer. You create an account, integrate your PayPal credentials, set up subscription plans, and generate checkout pages. You are responsible for your own business operations, compliance, customer support, and all interactions with your end customers.

3.2 End Customers (Your Subscribers)

End Customers are individuals or entities who purchase subscriptions to your service through checkout pages generated by SenSub. These customers are not customers of SenSub—they are your customers.

  • Contract: The contractual relationship for the subscription service is between you (the SaaS Owner) and your End Customer, not between SenSub and the End Customer.
  • Support: You are solely responsible for providing customer support, handling disputes, processing refunds, and resolving any issues related to your service.
  • Liability: SenSub has no liability to your End Customers for the quality, availability, or delivery of your service.

3.3 Checkout Page Disclaimer

When End Customers land on a SenSub-generated checkout page, they will be redirected to PayPal's official checkout interface. SenSub does not collect, store, or process payment card information. All payment processing is handled exclusively by PayPal in accordance with PayPal's terms.

By using SenSub to generate checkout URLs, you agree to clearly communicate to your End Customers:

  • The terms of your subscription service (pricing, billing cycle, cancellation policy)
  • That payments are processed by PayPal, subject to PayPal's terms
  • Your own refund and cancellation policies
  • How to contact you for support or disputes

3.4 No Agency Relationship

SenSub is not your agent, partner, or joint venture. We do not act on your behalf in transactions with your End Customers. You retain full control and responsibility for your business decisions, pricing, marketing, and customer relationships.

4. PayPal Relationship & Account Bans

3.1 Your PayPal Account Responsibility

You must maintain a valid PayPal Business account in good standing to use SenSub. You are solely responsible for compliance with PayPal's User Agreement, Acceptable Use Policy (AUP), and all other PayPal policies.

⚠️ CRITICAL: PayPal Account Ban Risk

SenSub cannot prevent or reverse PayPal account limitations or bans. While our service is designed to comply with PayPal's policies and does not violate PayPal's Terms of Service, PayPal independently enforces its own policies and may limit or ban user accounts for reasons including but not limited to:

  • Selling restricted products or services (e.g., adult content, gambling, cryptocurrency without approval)
  • High-risk transaction patterns or unusual activity
  • Suspected fraud or policy violations
  • Receiving excessive chargebacks or disputes
  • Any reason PayPal deems violates their Acceptable Use Policy

By using SenSub, you acknowledge and accept this risk. If your PayPal account is limited or banned, SenSub will be unable to process subscriptions on your behalf, and we are not responsible for any resulting loss of revenue or business.

3.2 No Guarantee Against PayPal Actions

SenSub makes no warranties or guarantees that your use of our service will prevent PayPal from taking action against your account. We provide tools and best practices to help you comply with PayPal's policies, but ultimate compliance is your responsibility.

4.3 Restricted Activities

You agree not to use SenSub to facilitate the sale of products or services that violate PayPal's Acceptable Use Policy, including but not limited to:

  • Illegal goods, services, or activities
  • Counterfeit or unauthorized items
  • Adult content or services without proper PayPal approval
  • Cryptocurrency, gambling, or high-risk financial products without authorization
  • Multi-level marketing or pyramid schemes
  • Items that infringe intellectual property rights
  • Hate speech, violence, or discriminatory content

SenSub reserves the right to suspend or terminate your account if we determine you are using our service for prohibited activities.

4.4 Account Ban Remediation Support

If your PayPal account is limited or banned, SenSub will:

  • Provide general guidance on PayPal's appeal process
  • Share resources and contact information for PayPal support (e.g., executiveoffice@paypal.com)
  • Offer advice on best practices to avoid future issues

However, we cannot guarantee that any appeal will be successful, and we are not responsible for PayPal's decisions regarding your account.

4.5 Alternative Payment Options

To mitigate the risk of PayPal account issues, we recommend considering backup payment processors (e.g., Stripe, Paddle). While SenSub currently focuses on PayPal integration, we may offer additional payment gateway integrations in the future.

ℹ️ Our Commitment

SenSub is designed as a legitimate integration tool that complies with PayPal's Third-Party Integration Guidelines. We do not engage in payment facilitation or aggregation. Our service has been built with input from PayPal's documentation and best practices. However, final enforcement of PayPal policies rests solely with PayPal.

5. Your Account

5.1 Account Registration

To use SenSub, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 API Credentials Security

When you connect your PayPal account, you provide us with your PayPal Client ID and Secret. We store these credentials using industry-standard encryption (AES-256) and never share them with third parties. You may revoke SenSub's access at any time by regenerating your PayPal API credentials in your PayPal Developer Dashboard.

5.3 Account Security

You are responsible for safeguarding your SenSub account credentials. You must notify us immediately of any unauthorized access or security breach. We are not liable for losses resulting from unauthorized use of your account if you fail to maintain adequate security.

5.4 Accurate Information

You agree to provide and maintain accurate business information, including your business name, contact details, and tax information as required.

6. Payments and Billing

6.1 Subscription Fees

SenSub charges a monthly subscription fee based on your selected plan tier (Launchpad, Starter, Maker, Growth, Scale, or Enterprise). Pricing is available on our website and may be updated with 30 days' notice.

6.2 Payment Processing

Your SenSub subscription fee is billed separately from your customers' PayPal subscription payments. SenSub does not charge transaction fees on payments processed through your PayPal account—you only pay PayPal's standard merchant fees.

6.3 Billing Cycle

Subscription fees are billed monthly in advance. If you exceed your plan's subscriber limit, you will be notified and may upgrade to a higher tier. New subscriptions will be paused until you upgrade.

6.4 Refunds

Subscription fees are non-refundable except as required by law or at SenSub's sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period.

6.5 Failed Payments

If your payment method fails, we will attempt to notify you and retry payment. Your account may be suspended or terminated if payment is not received within 7 days. You remain responsible for all unpaid fees.

6.6 Taxes

All fees are exclusive of applicable taxes (including VAT, sales tax, or GST). You are responsible for paying all applicable taxes associated with your use of SenSub. If we are required to collect taxes, they will be added to your invoice.

7. End-Customer Transactions

7.1 Merchant of Record

You are the merchant of record for all transactions with your End Customers. SenSub is not a party to the sale of your services or products. You are solely responsible for:

  • The accuracy of product/service descriptions, pricing, and billing terms
  • Delivery of the services or products you sell
  • Compliance with consumer protection laws and regulations
  • Handling customer complaints, disputes, and chargebacks
  • Issuing refunds or credits as required by your policies or applicable law

7.2 Customer Data Collection

When End Customers complete a transaction through a SenSub checkout page, you are responsible for compliance with data protection laws (including GDPR, CCPA, and other applicable regulations). You must:

  • Provide a clear privacy policy to your End Customers
  • Obtain necessary consents for data collection and processing
  • Ensure lawful use of customer data
  • Respond to data subject requests (access, deletion, etc.)

7.3 Chargebacks and Disputes

You are solely responsible for managing chargebacks, disputes, and refund requests from your End Customers. PayPal will handle these directly with you through your PayPal account. SenSub has no involvement in dispute resolution and is not liable for any chargeback fees or losses you incur.

7.4 Transaction Monitoring

You acknowledge that we may monitor transaction volumes, patterns, and activity to detect fraud, abuse, or violations of these Terms. We reserve the right to suspend accounts engaged in suspicious or high-risk activities.

7.5 Prohibited Products and Services

In addition to PayPal's restricted activities, you may not use SenSub to sell:

  • Illegal drugs, weapons, or controlled substances
  • Stolen goods or hacking services
  • Fake documents, credentials, or diplomas
  • Pyramid schemes or get-rich-quick programs
  • Services that violate consumer protection or privacy laws
  • Content that promotes violence, hate speech, or discrimination

8. Data and Privacy

8.1 Data Ownership

You retain ownership of all data you input into SenSub, including customer information, subscription details, and payment records. SenSub does not claim ownership of your data.

8.2 Data Usage

We collect and process data only as necessary to provide the Service. This includes:

  • Your PayPal API credentials (encrypted)
  • Subscription and payment data retrieved from PayPal
  • Customer email addresses for webhook notifications
  • Usage analytics to improve the Service

8.3 Data Processing Agreement

To the extent SenSub processes personal data on your behalf (e.g., End Customer email addresses), we act as a data processor under applicable data protection laws. You are the data controller and are responsible for ensuring lawful processing. Upon request, we will execute a Data Processing Agreement (DPA) that complies with GDPR and other regulations.

8.4 Privacy Policy

Our data practices are detailed in our Privacy Policy. By using SenSub, you consent to our data practices as described.

8.5 Security

We implement industry-standard security measures, including encryption, secure servers, and regular security audits. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

8.6 Data Breach Notification

In the event of a data breach affecting your data or your End Customers' data, we will notify you within 72 hours of becoming aware of the breach and will cooperate with you to mitigate the impact.

9. Limitations and Responsibilities

9.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for downtime caused by third-party services (e.g., PayPal API outages).

9.2 PayPal API Dependency

SenSub's functionality depends on PayPal's API. We are not responsible for changes, outages, or limitations imposed by PayPal. If PayPal deprecates or modifies their API, we will make reasonable efforts to adapt our service.

9.3 User Responsibilities

You are responsible for:

  • Complying with all applicable laws and regulations
  • Ensuring your use of SenSub and PayPal complies with PayPal's policies
  • Accurately configuring your subscription plans and pricing
  • Providing customer support for your subscribers
  • Handling refunds, disputes, and chargebacks with your customers
  • Maintaining adequate records for tax and accounting purposes
  • Complying with consumer protection, data privacy, and anti-money laundering laws

9.4 Prohibited Uses

You may not use SenSub to:

  • Violate any laws or regulations
  • Engage in fraudulent or deceptive practices
  • Sell illegal, counterfeit, or unauthorized goods
  • Harass, abuse, or harm others
  • Reverse-engineer, decompile, or attempt to extract our source code
  • Use the Service to spam or send unsolicited communications
  • Circumvent or manipulate our billing or usage tracking systems
  • Access or use another user's account without authorization

10. Intellectual Property

10.1 SenSub Ownership

SenSub retains all rights, title, and interest in the Service, including all software, technology, trademarks, and intellectual property. These Terms do not grant you any ownership rights—only a limited license to use the Service.

10.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use SenSub solely for your internal business purposes. You may not sublicense, resell, or distribute the Service.

10.3 Feedback

If you provide feedback, suggestions, or ideas about SenSub, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Service without compensation or attribution.

10.4 Your Content

You retain ownership of all content you upload to SenSub (e.g., product descriptions, logos, branding). By uploading content, you grant us a license to use, store, and display it solely for the purpose of providing the Service.

10.5 DMCA and Copyright Infringement

If you believe content on SenSub infringes your copyright, please contact us at contact@ialae.com with details. We will investigate and take appropriate action in accordance with the Digital Millennium Copyright Act (DMCA).

11. Termination

11.1 By You

You may cancel your SenSub subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or PayPal's policies
  • Your payment method fails or your account is past due
  • We determine your use of the Service poses a risk to us or others
  • We discontinue the Service (with 30 days' notice)
  • Required by law or legal process

11.3 Effect of Termination

Upon termination, you will lose access to the SenSub dashboard and API. Your PayPal subscriptions will continue to run independently in your PayPal account—terminating SenSub does not cancel your customers' subscriptions.

We will provide a 30-day grace period to export your data before permanent deletion.

11.4 Survival

Sections related to indemnification, limitation of liability, intellectual property, and dispute resolution will survive termination of these Terms.

12. Disclaimers and Warranties

12.1 "As-Is" Service

SenSub is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

12.2 No Guarantee of Results

We do not guarantee that using SenSub will result in any particular level of revenue, subscriber growth, or business success. Results depend on your business, marketing, and compliance with third-party policies.

12.3 Third-Party Services

SenSub integrates with PayPal, a third-party service. We are not responsible for PayPal's actions, policies, or service quality. Your use of PayPal is subject to PayPal's terms.

12.4 No Professional Advice

SenSub does not provide legal, tax, financial, or business advice. You should consult with qualified professionals regarding compliance, tax obligations, and business decisions.

13. Limitation of Liability

13.1 Exclusion of Damages

To the maximum extent permitted by law, SenSub shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to:

  • Loss of revenue or profits
  • Loss of data or business opportunities
  • Costs of substitute services
  • Damages resulting from PayPal account limitations or bans
  • Damages from End Customer disputes, chargebacks, or refunds
  • Unauthorized access to your account due to your security negligence

This limitation applies even if we have been advised of the possibility of such damages and regardless of the form of action (contract, tort, negligence, strict liability, or otherwise).

13.2 Cap on Liability

Our total liability for any claim arising from your use of SenSub is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13.3 Indemnification

You agree to indemnify and hold SenSub harmless from any claims, damages, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of PayPal's policies
  • Your use of the Service to sell illegal or prohibited goods
  • Disputes with your customers
  • Your breach of data protection or consumer protection laws
  • Claims arising from the quality, safety, or legality of your products or services
  • Intellectual property infringement by your content or offerings

13.4 Force Majeure

SenSub is not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or third-party service failures (including PayPal).

14. Dispute Resolution

14.1 Informal Resolution

Before filing a legal claim, you agree to attempt to resolve any dispute informally by contacting us at contact@ialae.com. We will attempt to resolve the issue within 30 days.

14.2 Arbitration Agreement

If informal resolution fails, you agree that any disputes arising from these Terms or your use of SenSub will be resolved through binding arbitration, rather than in court, except where prohibited by law.

Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Delaware, USA, or remotely via videoconference.

14.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against SenSub.

14.4 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized use of the Service.

15. Miscellaneous

15.1 Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or dashboard notice 30 days before taking effect. Continued use of the Service constitutes acceptance of updated Terms.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

15.3 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SenSub regarding the Service and supersede all prior agreements.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any successor or affiliate without your consent.

15.5 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.6 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.7 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

15.8 Export Compliance

You may not use SenSub in violation of any export or sanctions laws of the United States or any other applicable jurisdiction. You represent that you are not located in, or a national of, any country subject to U.S. embargo or sanctions.
